Notice

The following amendments to the InterDigital ("Company") Code of Business Conduct and Ethics ("Code") is reflected in the copy of the Code posted on the Company's Internet website pursuant to Item 406 of Regulation S-K of the Securities Exchange Act of 1934.

On December 15, 2006, the Company's Board of Directors amended Section 15 of the Code to provide that employees should consult with department managers or any executive officer (in addition to Human Resources or the General Counsel) if they have concerns about proper conduct. The introduction to the Code was also amended to evidence the Company's expectation that its consultants comply with the Code.
